License Activation

This License Agreement and Usage Policy (“Agreement”) governs the use of LYNX Allyance, a secure cloud-based platform developed and maintained by Eccalon. By activating a license, accessing, or using LYNX Allyance, you (“Licensee”) agree to the terms and conditions outlined below. Eccalon grants Licensee a non-exclusive, non-transferable, revocable, and limited license to access and use LYNX Allyance strictly for its intended and authorized purposes. Activation keys are issued exclusively for use by the designated office within your organization, and redistribution, transfer, or unauthorized sharing of activation keys is strictly prohibited. Each activation key is valid only for the designated office and remains subject to this Agreement. Licensee and its users shall not modify, distribute, sublicense, or resell any part of LYNX Allyance. Reverse-engineering, decompiling, or attempting to access the source code is strictly prohibited. The platform may not be used for unauthorized, unlawful, or malicious activities, and access credentials or activation keys must not be shared with unauthorized third parties. Additionally, users may not store, transmit, or process classified or controlled unclassified information (CUI) on the platform unless expressly authorized. Eccalon follows industry best practices, including encryption, access controls, and monitoring, to secure and protect user data. However, Licensee acknowledges that use of LYNX Allyance does not exempt it or its users from their obligations under federal cybersecurity regulations (e.g., CMMC, NIST 800-171, DFARS) and internal policies. Licensee and its users are responsible for ensuring that all sensitive information is handled in compliance with their organization's policies and applicable federal regulations. This Agreement remains valid until expiration, renewal, or termination. Eccalon reserves the right to suspend or revoke access if a Licensee violates this Agreement, applicable laws, or regulations, or if unauthorized access, misuse, or security breaches occur. Upon expiration or termination of this Agreement, Licensee and its users must immediately cease use of LYNX Allyance, and any stored or processed data may be deleted in accordance with Eccalon’s data retention policies. LYNX Allyance is provided "as is" and "as available", with no warranties regarding fitness for a particular purpose, accuracy, or uninterrupted access. Eccalon makes no guarantees concerning system uptime, performance, or availability. To the maximum extent permitted by law, Eccalon shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of LYNX Allyance, including but not limited to loss of data, security breaches, unauthorized access, system disruptions, or regulatory violations by the Licensee. Licensee agrees to indemnify and hold harmless Eccalon, its affiliates, officers, and employees from any claims, liabilities, or legal actions resulting from misuse of LYNX Allyance, violations of this Agreement, or failure to comply with applicable cybersecurity and compliance standards. Eccalon reserves the right to update, modify, or amend this Agreement at any time, and continued use of LYNX Allyance after changes are posted constitutes acceptance of the revised terms. The activating office is responsible for ensuring that its users understand the system’s functionality, security requirements, and compliance obligations. As part of the initial 30-day engagement, Eccalon will provide onboarding support, system training, access to instructional materials, and a customized user onboarding strategy tailored to the needs of each office.
